GENERAL CONDITIONS OF SALES
(for wholesalers)

1. Object

The present general conditions of sale have the aim of governing the contractual relations between the supplier, the PipelineCyL company titular S.L. of NAKED™ called "Naked" whose registered office is fixed at the street C/Vásquez Coronado 26, 37002 Salamanca (Spain) with the sole distributor AvalonPS, whose registered office is fixed at the street C/San Mateo, 4, 37002 Salamanca (Spain) intermediary-distributor exclusive of NAKED™ by the intermediary of a Web site connected to Internet network, and the Customer defined as the person or entity being the user of the site www.avalonps.com/naked and accepting the present general conditions of sale.

The purchase order posted on line forms integral part of these general conditions of sale. The only fact of placing order on the site www.avalonps.com/naked comprises the general acceptance of these conditions.

All other conditions engage the Naked company only after written confirmation of its share. Information being reproduced on this site is given only as an indication and can be modified by Naked without notice.

2. Customers

Our service is directed, exclusively, with the wholesalers, importers and with the chains of shops because of our characteristics of production.

3. Procedure of purchase

a) Purchase order form: The customer will have to send to us a purchase order with the desired products through Internet by filling the form on line or printing the purchase order form available on our site that you will send to us by fax.

b) Confirmation form: In the case of an order by Internet we will send you the confirmation form with the reference number of the order within 2 days by email. The customer will have then to print this confirmation form, check that the order is correct, sign it and send it to us by fax (+34 923 282932.).

If you fill the purchase order form manually, you only have to sign it and fax it to us at the number +34 923 282932. Like in the first case we will send you the confirmation form and the reservation reference number of the order within 2 days by Fax. The customer will have to check that the order is correct, sign it and send it to us by fax (+34 923 282932).

The signature of the Confirmation Form implies the general acceptance of these general conditions of sale.

d) Payment of the goods (by one of the means indicated below).

e) Once the payment is carried out, we will proceed to send the goods.

f) Cancellation of order: we will cancel the order 3 days after the sending of the confirmation.

4. Price

The prices being reproduced on the site www.avalonps.com/naked or presented by our agents are expressed in Euros and are Free On Board (FOB) starting from any place on the Spanish peninsula. They can be modified without notice.

They do not include: taxes of customs, surcharges, carriage of the goods and either the additional expenditure.

If you wish, we can organize transport. In this case, you will have to regulate the additional expenses.

In the event of a price change of certain articles, the articles already ordered and confirmed by Naked with the reference number will remain unchanged.

5. Order minimum

The minimum order fixed by Naked is 500 units. The products are offered until the stock runs out. For products not in stock in our warehouses, our offers are valid subject to availability. In the event of ordering of an inavailable product, the customer will be informed by email or by fax as soon as possible.

6. Date of delivery

The maximum date of the delivery of all orders is 30 days from the reception of the Confirmation form.

If for any reason the delivery is pushed back we will inform you and you will be able to reconfirm the order to us.

7. Means of payment

All the orders must be paid in advance. The payment can be made by any of the means indicated below:

a) By Credit/debit card: American Express, Eurocard/Mastercard, Visa.

b) By Bank Transfer.

c) Letter of Credit: (the costs are assumed by the importer).
The payment will have to be carried out in Euros.

8. Return of the goods

With the reception of the goods, the customer must immediately check their state and make sure that they coincide with the contract.

If there are any problems with the clothes, the customer will have to communicate within 4 days by email, fax or telephone, explaining the anomalies detected, the reference of the article and the number of items affected. The transport of the return will be assumed by Naked.

After 4 days of reception of the goods, we will not accept any return.

9. Guarantee

All the products of Naked are guaranteed against errors of the manufacture process and the materials.

10. The confidentialite of the data

The personal information sent by Internet is protected according to the Spanish Organic Law 15/1999 of December 13th (LOPD).

11. Attribution of jurisdiction

Contractual information is presented in English language and the products offered are in conformity with the Spanish regulation. If necessary, it is up to the foreign customer to check with local authorities the possible limitations of the product which he plans to order. Naked will not be committed in the event of non-observance of the regulation of a foreign country.

All the disagreements relating to the formation, the execution and the suspension of the contractual obligations between the parts not being able to settle their differences voluntarily will be subjected to the jurisdiction of the Commercial court of Salamanca, Spain where Naked has its head office.
